Republican Liberty Caucus of ( state )

1: Name

The name of the organization shall be the Republican Liberty Caucus of ( state ), hereinafter referred to as the "Caucus". The Caucus seeks recognition as a state chapter of the Republican Liberty Caucus. [Approved on (date ).]

2: Purpose

The Caucus is a political action organization dedicated to promote the ideals of free enterprise, individual freedom, and limited government within the Republican Party by:

A. Promoting libertarian principles among the Party officials and its chartered organizations;

B. Identifying and supporting candidates sympathetic with libertarian principles;

C. Promoting Caucus membership among Party registrants, officials, and officeholders.

3: Membership

Section 1: There shall be three categories of membership in the Caucus: Active, Associate, and Honorary.

Section 2: Active membership is limited to citizens of the state of ( state ) who are registered Republicans, or if under 18, have signed a statement of intent to register as Republican when they are eligible. Active members have voting privileges.

Section 3: Associate membership is open to any citizen of the United States of America, no matter their political affiliation. Associate members have no voting privileges.

Section 4: The Executive Committee may create Honorary memberships and determine who receives them, and whatever particular rights and honors are conferred therewith.

Section 5: Individuals may join the Caucus by paying annual membership dues or by special designation of the Caucus or national Executive Committees. Dues revenue received shall be shared as agreed between the national RLC and the ( state ) chapter. Shares shall be disbursed quarterly. Contributions shall be used for their designated purposes or, if not designated, as decided by the Caucus Executive Committee. No dues shall be used for financing individual electoral campaigns.

Section 6: Membership may be suspended or revoked by a vote of the Caucus and national Executive Committees for just cause.

4: Organization

Section 1. The Caucus shall be divided into ( geographic ) regions, to correspond with the regions as established by the ( state ) Republican Party.

Section 2. The officers of the Caucus shall be a Chair, a ( regional ) Vice-Chairs, a Secretary, and a Treasurer. Officers shall be elected for ( period ) year terms beginning in ( month, year ) at an annual convention of the Caucus by attending delegates and shall take office immediately upon the close of such convention.

Section 3. The Executive Committee shall be composed of the officers of the Caucus and such regional or special membership as shall be designated by the convention or the Executive Committee.

Section 4. The Executive Committee shall be responsible for the control and management of all the affairs, properties and funds of the Caucus consistent with these Bylaws, and any resolutions which may be adopted in convention.

5: Scope

The Caucus shall conduct its activities primarily within the state of ( state ). Any Caucus activities taking place outside of ( state ) must be coordinated with and approved by the state or national Republican Liberty Caucus organizations having jurisdiction over the areas affected.

6: Officers

Section 1. The Chair shall be the chief executive officer of the Caucus. The Chair or his/her designee shall preside at all Caucus conventions, all meetings of the Executive Committee and at all meetings of the Operations Committee.

Section 2. The Vice-Chairs shall act as assistants to the Chair, shall reside in their respective regions, and shall be responsible for coordinating activities in their respective regions.

Section 3. The Secretary shall be responsible for the maintenance of all Caucus records, including the membership list and a record of any Caucus proceedings specified in these Bylaws.

Copies of any Caucus records shall be available to any Caucus member upon written request and payment of handling and duplication expenses.

Section 4. The Treasurer shall receive, disburse and account for the funds of the Caucus under the supervision and direction of the Chair and the Executive Committee.

The Treasurer shall compile an annual report which shall consist of a balance sheet and profit and loss statement, which shall be available to members of the Caucus from the Treasurer upon written request and payment of handling and duplication expenses.

Section 5. An officer or Executive Committee member may be suspended or removed from office by a two-thirds vote of the Executive Committee.

Section 6.The Executive Committee may appoint new officers or Executive Committee members if vacancies occur. Such appointees shall complete the term of the office vacated, subject to the confirmation by delegates to an annual convention that occurs prior to the completion of the term.

7: Finance And Accounting

Section 1. The fiscal term of the Caucus shall begin on January 1 of each year. An annual budget may be established by the Executive Committee and the Treasurer may authorize expenditures for any item incorporated in the proposed budget.

Section 2. The Caucus shall not enter into any contract lasting more than one year, incur any expense in a non-budgeted category, or incur any expense in a budgeted category greater than the amount budgeted without a two-thirds vote of the entire Executive Committee. Disbursements shall be made solely by check, with supporting documentation.

8: Executive Committee

Section 1. The Executive Committee shall meet at such time and place as may be determined by action of the Committee, by a call of the Chair, or by written request of at least one-third of the members of the Executive Committee. Notice of the time and place of each meeting shall be sent to each member of the Executive Committee not less than fourteen days prior to such meeting.

Section 2. The Executive Committee may transact business by mail, e-mail, fax or any other communication medium they deemed appropriate. A quorum shall be a majority of the eligible members of the Executive Committee . Executive Committee members shall submit a written confirmation of votes which require a two-thirds majority to the Secretary.

Section 3. There shall be such working committees appointed by the Chair as the Executive Committee deems appropriate. Working committees shall exist at the pleasure of the Executive Committee.

9: Conventions

Section 1. The Caucus shall hold an annual convention of member delegates concurrent with an annual convention of the ( state ) Republican Party and shall conduct such business as may properly come before it, including election of officers and amendment of Bylaws.

Section 2. It shall be the responsibility of the Executive Committee to set the time, place, and schedule of events for the convention of delegates. At least sixty days notice shall be given to all current Caucus members.

Section 3.The Executive Committee shall designate such delegates to the national Republican Liberty Caucus convention as are allocated to the caucus.

10: Amendment of Bylaws

These Bylaws may be amended by a majority vote of all the registered delegates at any annual convention of the Caucus.

11: Affiliations, Adjudication, & Authority

Section 1. In the event of any conflict between these Bylaws and the ( state ) Election Code, the Federal Election Code, or any other law or regulation, these Bylaws shall govern the Caucus and its affairs.

Section 2. In the event that any authority should declare any portion of these Bylaws void or invalid, the remainder shall remain in full force and effect.

Section 3. Robert's Rules of Order, as newly revised, shall be the parliamentary authority for all matters of procedure not specifically covered by these Bylaws.

Section 4. Disputes involving these Bylaws or actions taken pursuant to these Bylaws shall be resolved by a majority of the Executive Committee, although decisions of the Executive Committee may be overturned by a majority at any Convention. If the dispute is over which persons constitutionally occupy the majority of the elected positions on the Executive Committee, then one-third of the current or outgoing Executive Committees may refer the matter to the Chairman of the ( state ) Republican Party for binding arbitration. If the Chairman is unwilling or unable either to serve as arbitrator or to select another officer of the ( state ) Republican Party for that purpose, then the matter may be referred to the Chairman of the National Republican Liberty Caucus for binding arbitration.
